3M ties Amazon’s share rights to data-centre purchases

A planned stake in optics manufacturer GSEO shows another part of its supply strategy.

3M’s expanded Amazon relationship includes share-purchase rights tied to customer spending. Its 19 October filing covers a warrant for up to 3,162,015 shares at $164.89 each over seven years.[1]

For 85% of those shares, vesting depends on payments for optical connectivity and other data-centre products. That portion fully vests at $6 billion in cumulative payments; the rest depends on event milestones.[1]

A warrant gives the holder a right to purchase shares on stated terms. The $6 billion is a vesting threshold, not revenue already earned.[1]

An investment in manufacturing

On the same day, 3M announced plans to acquire about 4.7% of Genius Electronic Optical’s common shares through a private placement of newly issued shares. It expects the investment to close in the fourth quarter, subject to conditions. The collaboration targets development and manufacturing of 3M’s Expanded Beam Optical technology.[2]

GSEO contributes precision optics manufacturing capabilities and production scale. The companies aim to expand capacity for optical connections used in data centres. The proposed share purchase would give 3M an interest in a supplier involved in that manufacturing effort.[2]

The connection being manufactured

Expanded Beam Optical changes the interface between fibres: an expanded light beam replaces direct contact between their ends. In July, Microsoft said it would deploy the technology in Azure data centres. The partners described greater tolerance of contamination and less frequent cleaning and inspection.[3]

Microsoft reported promising early experience in live data-centre conditions, without quantifying a network-wide deployment gain. The practical attraction is installation and maintenance: a connection that tolerates routine handling and dust can simplify work repeated across a large computing facility.[3]
