Dassault Systèmes set out its plan on 28 October to unite ArisGlobal with BIOVIA and MEDIDATA in a life-sciences AI platform. Its accompanying financial results place the acquisition’s completion in the second half of September.[1][3]
The portfolio joins different parts of drug development: BIOVIA’s scientific modelling, MEDIDATA’s clinical-development systems and ArisGlobal’s regulatory, safety, quality and medical-affairs software. Dassault’s stated aim is to connect information across that lifecycle.[1]
How the acquisition consideration is structured
| Payment | Basis |
|---|---|
| US$1.8 billion | Cash at closing |
| Up to US$200 million | Additional consideration tied to multi-year AI-related revenue milestones |
The July agreement described ArisGlobal as processing more than 12 million patient-safety reports annually and serving over 200 customers. Those operational records are central to the integration’s logic: observations from medicines in use sit alongside the systems used to develop and test them.[2]
Dr Ashwini Zenooz will lead the combined sector, with responsibility for strategy, integration and sales. ArisGlobal chief executive Aman Wasan remains in his role.[1]
The first financial contribution
Dassault said ArisGlobal had no material revenue impact in the third quarter. For the fourth quarter, it expects the acquisition to add two percentage points to group revenue growth of 5%–8%, on its non-IFRS reporting basis at constant exchange rates. Those are company forecasts, and the reported integration ambition extends beyond that initial accounting contribution.[3]
